Terms of Service

1. Acceptance of terms

By accessing or using Synlumex AI products or services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Accounts

To use most Services, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use or suspected security incident.

3. Acceptable use

You agree not to, and not to permit others to:

• Use the Services in violation of any applicable law or regulation.
• Reverse engineer, decompile, or attempt to derive source code from the Services.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or any related systems.
• Use the Services to build a competing product or benchmark without our prior written consent.
• Upload content that infringes intellectual property, privacy, or other rights.
• Submit unlawful, harmful, or misleading content, including data you are not authorized to process.

4. Customer content

You retain all rights in the content you or your organization submit to the Services ("Customer Content"). You grant Synlumex AI a limited, non-exclusive license to host, process, and display Customer Content solely to provide, secure, and improve the Services for you. We do not use Customer Content to train foundational AI models.

5. Fees and billing

Paid Services are billed according to the plan and terms presented at purchase or in your order form. Fees are non-refundable except as required by law or as expressly stated. Late payments may result in suspension of the Services after notice.

6. Confidentiality

Each party will protect the other party's confidential information with the same degree of care it uses to protect its own similar information, and will not use or disclose confidential information except as necessary to perform under these Terms or as required by law.

7. Intellectual property

The Services, including all software, documentation, and related materials, are owned by Synlumex AI or its licensors and are protected by intellectual property laws. Except for the limited rights granted to you, Synlumex AI reserves all rights.

8. Warranties and disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Synlumex AI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that AI outputs will be free of inaccuracies.

9. Limitation of liability

To the maximum extent permitted by law, Synlumex AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, whether in an action in contract, tort, or otherwise, even if advised of the possibility of such damages. Synlumex AI's aggregate liability under these Terms will not exceed the amounts paid by you for the Services in the twelve (12) months preceding the event giving rise to the liability.

10. Term and termination

These Terms remain in effect until terminated. You may terminate your account at any time. We may suspend or terminate access to the Services for material breach of these Terms, non-payment, or where required by law. On termination, your right to use the Services ends and provisions intended to survive termination will continue in effect.

11. Governing law and disputes

These Terms are governed by the laws of the jurisdiction of Synlumex AI's principal place of business, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, except where you are entitled to bring a claim in your local courts under mandatory law.

12. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. Material changes will be communicated through the product or by email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
